jump to expanded postastonished to discover Thomann, the world's largest music retailer, was as recently as 2015 still a sole proprietorship. a registered one (e.K., eingetragener Kaufmann), but a sole proprietorship nonetheless. he had >1k employees and was still personally liable for all debts?!
at least i was able to establish that if he had been unfortunate enough to die prior to Thomann's incorporation as a GmbH, the registration means that the firm would have been inherited rather than literally immediately ceasing to exist, so at least there's that
it really takes a very stubborn asshole who somehow knows his business will never go bankrupt in his lifetime to avoid incorporating for that long, good lord. i don't know at what headcount you should definitely incorporate, but it's surely in the two digits?!
